On October 27th, 2015, the Iraqi Parliament          ‫ﻟﻘﺪ أﻗﺮ ﻣﺠﻠﺲ اﻟﻨﻮاب اﻟﻌﺮاﻗﻲ ﻗﺎﻧﻮن اﻟﺘﻌﺪﯾﻞ اﻟﺜﺎﻧﻲ ﻟﻘﺎﻧﻮن‬
passed the second amended law of the above           ‫ وذﻟﻚ ﺑﺘﺎرﯾﺦ‬2006 ‫ ﻟﺴﻨﺔ‬13 ‫اﻻﺳﺘﺜﻤﺎر رﻗﻢ‬
(Investment) Law. This amendment deals               ‫ ﺣﯿﺚ ﺗﻄﺮق ھﺬا اﻟﺘﻌﺪﯾﻞ اﻟﻰ اﻏﻠﺐ اﺣﻜﺎم‬.2015/10/27
with most of the provisions under the current        ‫ ﻟﺬﻟﻚ ﻓﻘﺪ ﻛﺎن ﺟﺎﻧﺐ ﻛﺒﯿﺮ ﻣﻦ ھﺬا اﻟﺘﻌﺪﯾﻞ‬،‫اﻟﻘﺎﻧﻮن اﻟﺤﺎﻟﻲ‬
Law: primarily the administrative and                ‫ﻣﻦ ﻧﺼﯿﺐ اﻟﺠﻮاﻧﺐ اﻻدارﯾﺔ واﻟﺘﻨﻈﯿﻤﯿﺔ ﺳﻮاء ﻟﻠﮭﯿﺌﺔ‬

In addition, the amendment deals with the            ‫ ﺣﯿﺚ ﺳﯿﺘﻢ اﻟﺘﺮﻛﯿﺰ ﻋﻠﻰ ﺗﻠﻚ اﻟﻨﺼﻮص اﻟﺘﻲ‬،‫اﻷﺳﺎس‬
rights and privileges of investors, which will       ‫ﺗﻀﻤﻨﺖ ﺣﻘﻮق أو اﻣﺘﯿﺎزات ﺗﺴﮭﻢ ﻓﻲ ﺗﺸﺠﯿﻊ وﺟﺬب‬
be covered here. As such, we will focus on
the provisions that encourage and attract                         .‫اﻟﻤﺴﺘﺜﻤﺮﯾﻦ إﻟﻰ اﻟﺪﺧﻮل إﻟﻰ اﻟﺴﻮق اﻟﻌﺮاﻗﯿﺔ‬
investors to come into the Iraqi market.
                                                     ‫وﻣﻦ ﺧﻼل اﻟﺘﻤﻌﻦ ﻓﻲ اﻟﺘﻌﺪﯾﻼت اﻟﺨﺎﺻﺔ ﺑﺤﻘﻮق‬
After careful study and review of the                ‫اﻟﻤﺴﺘﺜﻤﺮﯾﻦ او اﻟﻤﺴﺎﺋﻞ اﻟﺘﻲ ﺗﺘﻌﻠﻖ ﺑﻨﺸﺎطﮭﻢ ﻧﺠﺪ ھﺬا‬
amendments on rights of investors or those           ‫ اﻷول إﺿﺎﻓﺔ ﻣﻔﺎھﯿﻢ‬:‫اﻟﺘﻌﺪﯾﻼت ﻗﺪ ﺳﺎرت ﻓﻲ اﺗﺠﺎھﯿﻦ‬
issues regarding their activities, it is clear       ‫ واﻟﺜﺎﻧﻲ ﺗﻌﺪﯾﻞ‬،‫ﺟﺪﯾﺪة ﻟﻠﻘﺎﻧﻮن ﻟﻢ ﺗﻜﻦ ﻣﻨﺼﻮﺻﺎ ﻋﻠﯿﮭﺎ ﺳﺎﺑﻘﺎ‬
that these amendments go in two directions:          ‫اﻟﻜﺜﯿﺮ ﻣﻦ اﻟﻨﺼﻮص اﻟﻘﺎﺋﻤﺔ ﻣﻊ ﻣﺤﺎوﻟﺔ إزاﻟﺔ اﻟﻠﺒﺲ‬
first, the addition of new concepts of the           ‫ وھﺬا ﻣﺎﺳﻨﺤﺎول ﺑﯿﺎﻧﮫ‬،‫واﻟﻐﻤﻮص اﻟﺬي ﻛﺎن ﯾﻌﺘﺮي ﺑﻌﻀﮭﺎ‬
Law not previously provided for, and
second, the amendment of many existing                                                     :‫ﻓﻲ اﻟﻨﻘﺎط اﻟﺘﺎﻟﯿﺔ‬
provisions, along with attempts to remove
the ambiguity appearing in some of them.             ‫ إﺿﺎﻓﺔ ﻣﻔﮭﻮﻣﻲ اﻟﻤﻄ ّﻮر واﻟﻤﻄ ّﻮر اﻟﺜﺎﻧﻮي اﻟﻰ ﻗﺎﻧﻮن‬:‫أوﻻ‬
We will attempt to clarify the above in the          ‫ ﻓﻘﺪ‬.‫ ﺣﯿﺚ ﻟﻢ ﺗﻜﻦ ھﺬه اﻟﻤﻔﺎھﯿﻢ ﻣﻌﺮوﻓﺔ ﺳﺎﺑﻘﺎ‬،‫اﻻﺳﺘﺜﻤﺎر‬
following points:
                                                            :‫ﺛﺎﻧﻲ ﻋﺸﺮ ﻣﻦ اﻟﺘﻌﺪﯾﻞ اﻟﻤﻄﻮر ﺑﺄﻧﮫ‬/1 ‫ﻋ ّﺮﻓﺖ اﻟﻤﺎدة‬
First: Addition of the concepts of
“developer” and “secondary developer” to             ‫)ﻛﻞ ﺷﺨﺺ طﺒﯿﻌﻲ أو ﻣﻌﻨﻮي ﺣﺎﺻﻞ ﻋﻠﻰ إﺟﺎزة اﺳﺘﺜﻤﺎر‬
the Law, since these concepts were not               ‫ﻟﻠﻤﺸﺎرﯾﻊ اﻻﺳﺘﺮاﺗﯿﺠﯿﺔ ﻓﻲ ﻗﻄﺎﻋﻲ ﺑﻨﺎء اﻟﻤﺪن اﻟﺴﻜﻨﯿﺔ‬
common/familiar before. Article 1/Twelve             ‫واﻟﻤﻨﺎطﻖ اﻻﺳﺘﺜﻤﺎرﯾﺔ او أي ﻗﻄﺎع ﺗﻨﻤﻮي آﺧﺮ ﺗﻘﻊ ﺧﺎرج‬
of the amendment defines the developer as:           ‫اﻟﺘﺼﻤﯿﻢ اﻷﺳﺎس ﺗﻘﺘﺮﺣﮫ اﻟﮭﯿﺌﺔ وﯾﻮاﻓﻖ ﻋﻠﯿﮭﺎ ﻣﺠﻠﺲ‬

“every natural or legal person that obtains a
permit to enter into strategic investment
projects in the sectors of urban housing,
investment zones, or any other development-
