investors generous benefits, guarantees and
exemptions for qualifying investments,
including (See Appendix I for a brief
summary of the Second Amended National
Investment Law):
• Ten-year exemption from taxes;
• Right to repatriate investments and
revenues;
• Right to employ necessary foreign
labor;
• Exemption from import duties for
necessary equipment and materials
throughout the period of project
implementation, but before the start
of commercial operations;
• Exemption from taxes and fees for
primary materials imported for
commercial operations based on the
percentage of locally-produced
materials being used in the project;
• Protection from nationalization or
expropriation.
The purpose of this Legal Guide is to
facilitate increased investment in Iraq by
providing a common reference tool for use
by public and private sector parties in
evaluating and entering into investment
contracts, including an overview of the
procedures, rules and regulations applicable
to investment contract negotiation.
Contents of Legal Guide
The Legal Guide has six principal Sections
and an Appendix.
Section I – This Section provides an
overview of the process of making a
foreign investment in Iraq by laying out
a general description of the relevant
Iraqi laws and the Iraqi legal system.
This includes, specifically, a summary
of the Iraqi National Investment Law
and a description of the Iraqi court
system. This Section also provides, as
an example, a comprehensive summary
