Individuals and companies interested in اﻷﻓﺮاد أو اﻟﺸﺮﻛﺎت اﻟﻤﮭﺘﻤﺔ ﺑﺘﺄﺳﯿﺲ ﻋﻤﻠﯿﺎت ﺗﺠﺎرﯾﺔ ﻓﻲ
establishing operations in Iraq are required اﻟﻌﺮاق ﯾﻜﻮن ﻣﻄﻠﻮﺑﺎً ﻣﻨﮭﻢ أن ﯾﺨﺘﺎروا واﺣﺪاً ﻣﻦ ﺛﻼﺛﺔ
to choose from one of three entity forms: :إﺧﺘﯿﺎرات
(1) Trade Representation Offices, which ﻻ ﯾﺠﻮز ﻟﮭﺎ أن ﺗﺰاول،( ﻣﻜﺎﺗﺐ ﺗﻤﺜﯿﻞ ﺗﺠﺎرﯾﺔ1)
may not engage in formal business و،أي أﻧﺸﻄﺔ ﺗﺠﺎرﯾﺔ رﺳﻤﯿﺔ
activities;
(2) Foreign Company Branch Offices, ( ﻓﺮع ﺷﺮﻛﺔ اﺟﻨﺒﺔ ﯾﻤﻜﻦ إﻧﺸﺎؤھﺎ ﻟﻠﺸﺮﻛﺎت2)
which may be established for foreign و،اﻷﺟﻨﺒﯿﺔ اﻟﺘﻲ ﻟﮭﺎ اﺟﺎزة اﺳﺘﺜﻤﺎر ﻓﻲ اﻟﻌﺮاق
companies that hold an investment
licensee in Iraq; and,
(3) Established Domestic Companies, وھﻰ اﻟﺸﺮﻛﺎت،( ﺗﺄﺳﯿﺲ ﺷﺮﻛﺎت وطﻨﯿﺔ3)
which refers to companies registered ﺑﻤﺎ ﻓﻲ ذﻟﻚ،اﻟﻤﺴﺠﻠﺔ ﺑﻤﻮﺟﺐ اﻟﻘﺎﻧﻮن اﻟﻌﺮاﻗﻲ
under the Iraqi company law, including
Limited Liability Companies and Joint .ﺷﺮﻛﺎت ﻣﺤﺪودة اﻟﻤﺴﺆوﻟﯿﺔ
Stock Companies, Joint Liability
Companies.
However, an individual may elect to apply ، واﻟﺸﺮﻛﺎت اﻟﺘﻀﺎﻣﻨﯿﺔ،اﻟﺸﺮﻛﺎت اﻟﻤﺴﺎھﻤﺔ
and obtain an investment license in their وﻣﻊ ذﻟﻚ ﯾﺤﻖ ﻟﻼﻓﺮاد أن ﯾﻘﺪﻣﻮا طﻠﺒﺎً ﻟﻠﺤﺼﻮل ﻋﻠﻰ
personal capacity without applying for رﺧﺼﺔ إﺳﺘﺜﻤﺎر ﺑﺼﻔﺘﮭﻢ اﻟﺸﺨﺼﯿﺔ ﺑﺪون ﺗﻘﺪﯾﻢ طﻠﺐ
registration of one of the entity forms
