however, that the receipt of notice
of any such incident shall be
deemed to be Actual Knowledge.
“Action Plan” means the master
plan, scope and schedule of work,
and project description submitted by
the Second Party to the First party.”
“Applicable Legislations” means
and includes without exception all
laws, regulations, instructions,
guidelines, ministerial decrees or
relevant agreements applicable in
Iraq at the time of signing this
Contract.
“Approval” or “Approved” means
all approvals, permits and licenses
(including the Council of Ministers’
approval, and/or other related
approvals, to the Project, as well as
their execution and operation)
necessary to carry out this Contract
or grant an investment licenses in
accordance with the Law.
“Business Day” means any Day of
the week with the exception of
Friday.
“Change in Law” means any
change enacted by Competent
Government Authorities that results
in Serious Damage to the Second
Party, or might prejudice the Second
Party's ability to carry out its
obligations and exercise its rights
under this Contract, or prejudice the
viability of the Project, which by
way of example may include but are
not limited to the following: (i)
amendment or nullification of an
Applicable Law, or change in the
mechanism of its execution, (ii)
passage of a new Law, and (iii)

‫إﺳﺘﺜﻨﺎء ﻛﺎﻓﺔ اﻟﻘﻮاﻧﯿﻦ واﻷﻧﻈﻤﺔ واﻟﺘﻌﻠﯿﻤﺎت‬
‫واﻟﺘﻮﺟﯿﮭﺎت واﻟﻘﺮارات اﻟﻮزارﯾﺔ أو اﻹﺗﻔﺎﻗﺎت‬
‫ذات اﻟﺼﻠﺔ اﻟﻨﺎﻓﺬة ﻓﻲ اﻟﻌﺮاق ﻋﻨﺪ ﺗﻮﻗﯿﻊ ھﺬا‬

‫"ﻣﻮاﻓﻘﺔ" أو "ﻣﻮاﻓﻖ ﻋﻠﯿﮫ" ﺗﻌﻨﻲ ﺟﻤﯿﻊ‬
‫اﻟﻤﻮاﻓﻘﺎت واﻹﺟﺎزات واﻟﺘﺮاﺧﯿﺺ )ﺑﻤﺎ ﻓﻰ‬
‫أو اﻟﻤﻮاﻓﻘﺎت‬/‫ و‬،‫ذﻟﻚ ﻣﻮاﻓﻘﺔ ﻣﺠﻠﺲ اﻟﻮزراء‬
‫ وﺗﻨﻔﯿﺬھﺎ‬،‫اﻷﺧﺮى ذات اﻟﺼﻠﺔ ﺑﺎﻟﻤﺸﺮوع‬

‫اﻟﺠﮭﺎت اﻟﺤﻜﻮﻣﯿﺔ اﻟﻤﺨﺘﺼﺔ ﯾﻨﺸﺄ ﻋﻨﮫ ﺿﺮر‬
‫ أو ﻣﻦ ﺷﺄﻧﮫ أن‬،‫ﺟﺴﯿﻢ ﻋﻠﻰ اﻟﻄﺮف اﻟﺜﺎﻧﻲ‬
‫ﯾﺆﺛﺮ ﻋﻠﻰ ﻗﺪرﺗﮫ ﻋﻠﻰ ﺗﻨﻔﯿﺬ إﻟﺘﺰاﻣﺎﺗﮫ‬
‫وﻣﻤﺎرﺳﺔ ﺣﻘﻮﻗﮫ ﺑﻤﻮﺟﺐ ھﺬا اﻟﻌﻘﺪ أو ﯾﺆﺛﺮ‬
