“One-Stop Shop” means the
department through which the First
Party coordinates with the relevant
Competent Government Authorities
with respect to its obligations under
this Contract.
“Person” means any individual,
firm, corporation, company,
voluntary association, partnership,
limited liability company, joint
venture, trust, unincorporated
organization, government authority,
committee, department, authority or
any other body, incorporated or
unincorporated, whether having a
distinct legal personality or not.
“Project” means the project
described on Annex I, which
includes all Engineering Standards
submitted by the Second Party in
accordance with standard Iraqi
specifications Approved by
Competent Government Authorities.
“Project Land” means the Project
Land described on Annex I.
“Second Party” has the meaning
ascribed to such term in the
introduction to this Contract.
“Serious Damage” is any damage
resulting from a substantive breach
of this Contract by one Party that
substantially infringes on the rights
of the other Party with respect to the
profit rate or margin, execution
and/or economic viability of the
Project.
“Schedule” shall mean the schedule
prepared by the Second Party for
executing the project (the phases of
the project) agreed upon with the

‫"ﺷﺨﺺ" ﯾﻘﺼﺪ ﺑﮫ أي ﺷﺨﺺ طﺒﯿﻌﻲ أو‬
‫ﻛﯿﺎن أو ﺷﺮﻛﺔ أو إﺗﺤﺎد طﻮﻋﻲ أو ﺷﺮاﻛﺔ أو‬
‫ﺷﺮﻛﺔ ذات ﻣﺴﺆوﻟﯿﺔ ﻣﺤﺪودة أو ﻣﺸﺮوع‬
‫ﻣﺸﺘﺮك أو ﺻﻨﺪوق إﺋﺘﻤﺎن أو ﻣﺆﺳﺴﺔ‬
‫ﺗﻀﺎﻣﻨﯿﺔ أو ﺳﻠﻄﺔ ﺣﻜﻮﻣﯿﺔ أو ﻟﺠﻨﺔ إو إدارة‬
‫ ﺗﻀﺎﻣﻨﯿﺔ أو ﻏﯿﺮ‬، ‫أو ﺳﻠﻄﺔ أو أي ﻛﯿﺎن أﺧﺮ‬
‫ ﺳﻮاء ﻛﺎن ﻟﮭﺎ ﺷﺨﺼﯿﺔ ﻗﺎﻧﻮﻧﯿﺔ‬،‫ﺗﻀﺎﻣﻨﯿﺔ‬
.‫ﻣﺘﻤﯿﺰة أم ﻻ‬
‫"اﻟﻤﺸﺮوع" ﯾﻘﺼﺪ ﺑﮫ اﻟﻤﺸﺮوع اﻟﻤﺒﯿّﻦ ﻓﻲ‬
‫ وﯾﺸﻤﻞ ﻛﺎﻓﺔ اﻟﻤﻌﺎﯾﯿﺮ اﻟﮭﻨﺪﺳﯿﺔ‬،‫اﻟﻤﻠﺤﻖ اﻷول‬
‫اﻟﻤﻘﺪﻣﺔ ﻣﻦ ﻗﺒﻞ اﻟﻄﺮف اﻟﺜﺎﻧﻲ وﻓﻖ‬
‫اﻟﻤﻮاﺻﻔﺎت اﻟﻤﻌﯿﺎرﯾﺔ اﻟﻌﺮاﻗﯿﺔ اﻟﻤﻮاﻓﻖ ﻋﻠﯿﮭﺎ‬
.‫ﻣﻦ ﻗﺒﻞ اﻟﺴﻠﻄﺎت اﻟﺤﻜﻮﻣﯿﺔ اﻟﻤﺨﺘﺼﺔ‬
‫"أرض اﻟﻤﺸﺮوع" ﯾﻘﺼﺪ ﺑﮭﺎ أرض اﻟﻤﺸﺮوع‬
.‫اﻟﻤﺒﯿّﻨﺔ ﻓﻲ اﻟﻤﻠﺤﻖ اﻷول‬
‫"اﻟﻄﺮف اﻟﺜﺎﻧﻲ" ﯾﻜﻮن ﻟﮫ اﻟﻤﻌﻨﻰ اﻟﻤﺤﺪد ﻟﮭﺬا‬
.‫اﻟﻤﺼﻄﻠﺢ ﻓﻲ ﻣﻘﺪﻣﺔ ھﺬا اﻟﻌﻘﺪ‬
‫"ﺿﺮر ﺟﺴﯿﻢ" ﯾﻘﺼﺪ ﺑﮫ أي ﺿﺮر ﻧﺎﺟﻢ ﻋﻦ‬
‫إﺧﻼل ﺟﻮھﺮي ﺑﮭﺬا اﻟﻌﻘﺪ ﻣﻦ ﺟﺎﻧﺐ طﺮف‬
‫ﻣﻦ ﺷﺄﻧﮫ أن ﯾﺆﺛﺮ ﺗﺄﺛﯿﺮاً ﻛﺒﯿﺮاً ﻋﻠﻰ ﺣﻘﻮق‬
‫اﻟﻄﺮف اﻵﺧﺮ ﻓﯿﻤﺎ ﯾﺘﻌﻠﻖ ﺑﻤﻌﺪل أو ھﺎﻣﺶ‬
‫أو اﻟﺠﺪوى‬/‫اﻟﺮﺑﺢ وﺗﻨﻔﯿﺬ اﻟﻤﺸﺮوع و‬
.‫اﻹﻗﺘﺼﺎدﯾﺔ ﻣﻨﮫ‬
‫"اﻟﺠﺪول" وﯾﻌﻨﻲ اﻟﺠﺪول اﻟﺬي أﻋﺪه اﻟﻄﺮف‬
(‫اﻟﺜﺎﻧﻲ ﻟﺘﻨﻔﯿﺬ اﻟﻤﺸﺮوع )ﻣﺮاﺣﻞ اﻟﻤﺸﺮوع‬
‫ وﯾﺠﻮز ﺗﻌﺪﯾﻞ‬.‫اﻟﻤﺘﻔﻖ ﻋﻠﯿﮫ ﻣﻊ اﻟﻄﺮف اﻷول‬
‫ھﺬا اﻟﺠﺪول أو ﺗﻤﺪﯾﺪه ﺑﺈﺗﻔﺎق اﻟﻄﺮﻓﯿﻦ ﻧﺘﯿﺠﺔ‬
