them and Second Party), which have
committed to provide credit, loans .إﺋﺘﻤﺎﻧﯿﺔ أو ﻗﺮوض أو ﺗﻤﻮﯾﻞ ﻟﻠﻤﺸﺮوع
or financing towards the Project.
ﺳﺎﻋﺔ ﻣﺘﺘﺎﻟﯿﺔ ﺑﺪ ًء ﻣﻦ24 "ﯾﻮم" ﯾﻘﺼﺪ ﺑﮫ
“Day” means 24 consecutive hours, 23:59 وإﻧﺘﮭﺎ ًء ﺑﺎﻟﺴﺎﻋﺔ،00:00 اﻟﺴﺎﻋﺔ
beginning at 00:00 o’clock and
ending at 23:59, Baghdad local .ﺑﺎﻟﺘﻮﻗﯿﺖ اﻟﻤﺤﻠﻲ ﻟﻤﺪﯾﻨﺔ ﺑﻐﺪاد
time.
"ﻧﺰاع" ﯾﻌﻨﻲ أي ﻧﺰاع أو ﺧﻼف ﺑﯿﻦ اﻟﻄﺮﻓﯿﻦ
“Dispute” means any dispute or أو ﺗﻨﻔﯿﺬ ھﺬا اﻟﻌﻘﺪ أو أي ﻧﺰاع/ﻣﺘﻌﻠﻖ ﺑﺘﻔﺴﯿﺮ و
disagreement between the Parties
relating to interpretation and/or .آﺧﺮ ﻣﺘﺼﻞ أو ﻣﺘﻌﻠﻖ ﺑﺎﻟﻌﻘﺪ
performance of this Contract or any
other dispute associated with or "ﺗﺎرﯾﺦ اﻟﺴﺮﯾﺎن" وﯾﻌﻨﻲ اﻟﺘﺎرﯾﺦ اﻟﺬي ﺗﺼﺒﺢ
pertaining to the Contract. .ﻓﯿﮫ إﻟﺘﺰاﻣﺎت طﺮﻓﻲ اﻟﻌﻘﺪ ﻧﺎﻓﺬة وﺳﺎرﯾﺔ
“Effective Date” means the date on "اﻟﻤﻌﺎﯾﯿﺮ اﻟﮭﻨﺪﺳﯿﺔ" وﺗﻌﻨﻲ اﻟﻤﻌﺎﯾﯿﺮ
which the obligations of both Parties واﻟﻤﻮاﺻﻔﺎت اﻟﮭﻨﺪﺳﯿﺔ اﻟﻤﺘﻌﺎرف ﻋﻠﯿﮭﺎ ﻟﺘﻨﻔﯿﺬ
to this Contract become enforceable
and effective. .اﻟﻤﺸﺮوع طﺒﻘﺎً ﻟﮭﺬا اﻟﻌﻘﺪ
“Engineering Standards” means " اﻟﺤﻘﻮق اﻟﺤﺼﺮﯾﺔ" ﺗﻌﻨﻲ اﻟﺤﻘﻮق اﻟﺘﻲ
the common engineering standards .ﯾﺘﻤﺘﻊ ﺑﮭﺎ اﻟﻄﺮف اﻟﺜﺎﻧﻲ طﯿﻠﺔ ﻣﺪة ﺗﻨﻔﯿﺬ اﻟﻌﻘﺪ
and specifications for execution of
the Project in accordance with this "اﻟﺘﻤﺪﯾﺪ" ﯾﻜﻮن ﻟﮫ اﻟﻤﻌﻨﻰ اﻟﻤﺤﺪد ﻟﮫ ﻓﻲ اﻟﻘﺴﻢ

“Exclusive Rights” means those "اﻟﻄﺮف اﻷول" ﯾﻜﻮن ﻟﮫ اﻟﻤﻌﻨﻰ اﻟﻤﺤﺪد ﻟﮫ ﻓﻲ
rights enjoyed by the Second Party .ﻣﻘﺪﻣﺔ ھﺬا اﻟﻌﻘﺪ
for the duration of this Contract.
"اﻟﻘﻮة اﻟﻘﺎھﺮة" ﺗﻌﻨﻲ أي ﺣﺪث أو ظﺮف )أو
“Extension” has the meaning ﺳﻠﺴﻠﺔ ﻣﻦ اﻷﺣﺪاث أو اﻟﻈﺮوف( اﻟﺨﺎرﺟﺔ
ascribed in Section 14(2). ﺗﻜﻮن ﻓﻲ وﻗﺖ،ﻋﻦ ﺳﯿﻄﺮة اﻟﻄﺮف اﻟﻤﻌﻨﻲ
ﺗﻮﻗﯿﻊ ھﺬا اﻟﻌﻘﺪ ﻏﯿﺮ ﻣﺘﻮﻗﻌﺔ اﻟﺤﺪوث ﺑﺎﻟﻨﺴﺒﺔ
“First Party” has the meaning ﻟﻠﺸﺨﺺ اﻟﻌﺎدي أو ﺧﺎرﺟﺎً ﻋﻦ ﺳﯿﻄﺮة
ascribed in the introduction to this
Contract.
“Force Majeure” means any event
or circumstance (or series of events
or circumstances) beyond the
concerned party’s control and
