Financing, Subcontracting :‫اﻟﺒﺎطﻦ و اﻟﺘﺤﻮﯾﻞ‬
and Transfers:

a. The Second Party has the right ‫ وﺑﺪون ﻣﻮاﻓﻘﺔ‬،‫ﻟﻠﻄﺮف اﻟﺜﺎﻧﻲ اﻟﺤﻖ‬ .‫ح‬
‫ ﻓﻲ اﻟﺤﺼﻮل ﻋﻠﻰ‬،‫اﻟﻄﺮف اﻷول‬
and without consent of the ‫اﻟﺘﻤﻮﯾﻞ ﻟﻨﻔﺴﮫ واﻟﻤﺸﺮوع ﺑﺈﺳﺘﺨﺪام‬
‫ ﺳﻮاء ﻣﻦ‬،‫اﻟﺘﻤﻮﯾﻞ ﻣﻦ اﻟﻤﻘﺮﺿﯿﻦ‬
First Party, to finance itself ‫ وإﺑﺮام‬،‫داﺧﻞ اﻟﻌﺮاق أم ﻣﻦ ﺧﺎرﺟﮫ‬
‫ وﯾﺸﻤﻞ ذﻟﻚ‬،‫إﺗﻔﺎﻗﯿﺎت ذات ﺻﻠﺔ‬
and the Project using funding ‫اﻟﻀﻤﺎﻧﺎت اﻟﻌﯿﻨﯿﺔ و اﻟﺘﻨﺎزل ﻣﻊ ھﺬه‬
‫ ﻣﻊ ﻣﺮاﻋﺎة إﻟﺘﺰام ھﺬا‬، ‫اﻟﺠﮭﺎت‬
from Creditors, whether or not ‫ ﺑﻤﺎ ﻓﻲ ذﻟﻚ‬،‫اﻟﺘﻤﻮﯾﻞ ﺑﺎﻟﻘﺎﻧﻮن اﻟﻨﺎﻓﺬ‬
‫أﯾﺔ أﻧﻈﻤﺔ أو ﺗﻌﻠﯿﻤﺎت ﻧﺎﻓﺬة ﺻﺎدرة‬
located inside Iraq, and to
.‫ﻣﻦ اﻟﺒﻨﻚ اﻟﻤﺮﻛﺰي اﻟﻌﺮاﻗﻲ‬
enter into any related

agreements, including

collateral security

assignments, with such

Persons, provided that such

financing is in compliance

with Applicable Law,

including any applicable

regulations and instructions

issued by the Central Bank of

Iraq.

b. The Second Party has the ‫ وﺑﺪون ﻣﻮاﻓﻘﺔ‬،‫ﯾﺤﻖ ﻟﻠﻄﺮف اﻟﺜﺎﻧﻲ‬ .‫ط‬
right, without consent of the ‫ اﻟﺘﻌﺎﻗﺪ ﻣﻊ ﻣﻘﺎوﻟﯿﻦ‬،‫اﻟﻄﺮف اﻷول‬
First Party, to contract with ‫ وأن ﯾﻔ ّﻮض ﻟﮭﺬا اﻟﻤﺘﻌﺎﻗﺪ‬،‫ﺛﺎﻧﻮﯾﯿﻦ‬
Project Contractors and to ‫اﻟﺜﺎﻧﻮي أﯾﺎً ﻣﻦ ﺣﻘﻮﻗﮫ واﻟﺘﺰاﻣﺎﺗﮫ‬
delegate to such Project ‫اﻟﻤﺘﺼﻠﺔ ﺑﺘﻄﻮﯾﺮ وإﻛﻤﺎل وﺗﺸﻐﯿﻞ‬
Contractor, any of its rights ‫ ﺑﺸﺮط ﺑﻘﺎء اﻟﻄﺮف اﻟﺜﺎﻧﻲ‬،‫اﻟﻤﺸﺮوع‬
and obligations relating to the ‫ﻣﺴﺆو ًﻻ ﻋﻦ أﯾﺔ ﻣﺨﺎﻟﻔﺔ ﯾﺮﺗﻜﺒﮭﺎ‬
development, completion and ‫اﻟﻤﺘﻌﺎﻗﺪ اﻟﺜﺎﻧﻮﻧﻲ ﻷي ﻣﻦ اﻹﻟﺘﺰاﻣﺎت‬
operation of the Project,
provided, however, that the .‫ﺑﻤﻮﺟﺐ ھﺬا اﻟﻌﻘﺪ‬
Second Party shall remain
responsible for any violation
of a Project Contractor of any
obligations under this
Contract.

c. To the extent permitted by ‫ وﺿﻤﻦ اﻟﺤﺪود‬،‫ﯾﺤﻖ ﻟﻠﻄﺮف اﻟﺜﺎﻧﻲ‬ .‫ي‬
Applicable Laws, the Second ‫ ﺗﻤﻠﻚ‬،‫اﻟﺘﻲ ﺗﺴﻤﺢ ﺑﮫ اﻟﻘﻮاﻧﯿﻦ اﻟﻨﺎﻓﺬة‬
Party has the right to own and ‫وإﺣﺎﻟﺔ أﯾﺔ ﺣﻘﻮق إﺷﻐﺎل وﻋﻘﻮد‬
transfer any occupancy rights, ‫وﺿﻤﺎﻧﺎت وﺣﻘﻮق وﺣﻘﻮق ﺣﺼﺮﯾﺔ‬
contracts, representations, ‫وﻏﯿﺮ ﺣﺼﺮﯾﺔ ﻹﺳﺘﻌﻤﺎل إﺷﺎرات‬
rights and exclusive and non- ‫وﻋﻼﻣﺎت أو أﯾﺔ ﺣﻘﻮق ذات ﺻﻠﺔ‬
exclusive rights to use trade ‫ﺑﺤﻘﻮق اﻟﻤﻠﻜﯿﺔ اﻟﻔﻜﺮﯾﺔ ﻷي ﺷﺨﺺ‬
signs and marks or any other
.‫ﯾﺨﺘﺎره اﻟﻄﺮف اﻟﺜﺎﻧﻲ‬
