Section 10. First Party
Acknowledgements ‫ﯾﺤﻖ ﻟﻠﻄﺮف اﻟﺜﺎﻧﻲ ﻣﻤﺎرﺳﺔ ﻛﺎﻓﺔ ﺣﻘﻮﻗﮫ‬ .1

The First Party acknowledges and agrees
for the benefit of the Second Party that: ‫ﯾﺤﻖ ﻟﻠﻄﺮف اﻟﺜﺎﻧﻲ ﺗﺤﻮﯾﻞ رأس اﻟﻤﺎل‬ .2

1. The Second Party shall be entitled to ‫اﻟﺪﯾﻮن واﻟﻌﻮاﺋﺪ واﻟﻤﺒﺎﻟﻎ واﺟﺒﺔ اﻟﺪﻓﻊ ﺑﺎﻟﻌﻤﻠﺔ‬
exercise all of its rights under this ‫ وﻟﮫ اﻟﺤﻖ ﻓﻲ اﺳﺘﻌﻤﺎل ﺗﻠﻚ اﻟﻤﺒﺎﻟﻎ‬،‫اﻷﺟﻨﺒﯿﺔ‬

freely transfer investment capital
outside of Iraq, along with debts, ‫ ﻻ ﯾﺠﻮز ﻷي ﺳﻠﻄﺔ‬،‫وﻓﻘﺎً ﻟﻠﻘﺎﻧﻮن اﻟﻨﺎﻓﺬ‬ .3
revenues, and amounts payable, in ‫ ﺑﺸﻜﻞ‬،‫ﺣﻜﻮﻣﯿﺔ ﻧﺎﻓﺬة أن ﺗﺘﺨﺬ أي إﺟﺮاء‬
foreign currency, as well as the right ‫ ﻣﻦ ﺷﺄﻧﮫ أن ﯾﻌﯿﻖ‬،‫ﻣﺒﺎﺷﺮ أو ﻏﯿﺮ ﻣﺒﺎﺷﺮ‬
to freely apply such amounts as

other company in accordance with

3. In accordance with the Applicable ‫ﻓﺘﺢ وﺗﺸﻐﯿﻞ ﺣﺴﺎﺑﺎت ﻣﺼﺮﻓﯿﺔ‬ .‫ب‬
Law, no Competent Government ‫ﻟﻠﻤﺸﺮوع ﺑﻌﻤﻼت أﺟﻨﺒﯿﺔ وﺑﺎﻟﺪﯾﻨﺎر‬
Authority may take any measure ‫اﻟﻌﺮاﻗﻲ ﻓﻲ اﻟﻌﺮاق أو ﻓﻲ أي ﺑﻠﺪ‬
that may, directly or indirectly,

a. Purchasing any foreign
currency for the Project from
legally licensed exchange
firms, or

b. Open and operate bank
accounts in foreign currencies
and the Iraqi Dinar (IQD) in
Iraq or any other country for
the Project, or
