the new investor shall continue to enjoy ‫ﯾﺘﻌﻠﻖ ﺑﺎﻟﺴﻠﻄﺔ واﻟﺼﻼﺣﯿﺔ‬
such rights until the expiration of the period
of the privileges, facilities and guarantees :‫ﯾﺼ ّﺮح اﻟﻄﺮف اﻟﺜﺎﻧﻲ وﯾﻘﺮ ﺑﻤﺎ ﯾﻠﻲ‬ .1

Section 17. The Parties’ Representations ً‫ﯾُﻌﺘﺒﺮ ھﺬا اﻟﻌﻘﺪ إﻟﺘﺰاﻣﺎً ﺻﺤﯿﺤﺎ‬ .‫ب‬
and Warranties as to ،‫وﻗﺎﺑﻼً ﻟﻠﺘﻨﻔﯿﺬ ﻣﻦ ﻗﺒﻞ اﻟﻄﺮف اﻟﺜﺎﻧﻲ‬
Authority and Validity ‫وأﻧﮫ ﻗﺪ ﺗ ّﻢ إﺳﺘﯿﻔﺎء ﻛﺎﻓﺔ اﻟﻤﻮاﻓﻘﺎت‬
‫اﻟﻼزﻣﺔ ﺑﻤﻮﺟﺐ ﺑﯿﺎن ﺗﺎﺳﯿﺴﮫ‬
1. The Second Party represents and ‫وﻟﻮاﺋﺤﮫ اﻟﺪاﺧﻠﯿﺔ أو ﻣﺘﻄﻠﺒﺎﺗﮫ‬
warrants that:

b. This Contract is a valid and ‫ واﻹﻟﺘﺰام‬،‫ﻹﺑﺮام وأداء ھﺬا اﻟﻌﻘﺪ‬
enforceable obligation of the
Second Party and all necessary .‫ﺑﻜﺎﻓﺔ ﺑﻨﻮده طﺒﻘﺎً ﻟﻘﺎﻧﻮن اﻹﺳﺘﺜﻤﺎر‬
authorizations under its charter
and by-laws or other
requirements have been taken.

2. The First Party represents and
warrants that:

a. It has all necessary power and
authority to enter into and
perform this Contract and
abide by its provisions in
accordance with the
Investment Law.
