Section 27. Complete Agreement اﻹﺗﻔﺎق اﻟﻜﻠﻲ.27 اﻟﻘﺴﻢ
The terms and provisions set forth in this اﻟﺸﺮوط واﻷﺣﻜﺎم اﻟﺘﻲ ﯾﺘﻀﻤﻨﮭﺎ ھﺬا اﻟﻌﻘﺪ ﺗﺸ ّﻜﻞ ﻛﺎﻣﻞ
Contract constitute the full agreement .اﻹﺗﻔﺎق اﻟﻤﺒﺮم ﻣﺎ ﺑﯿﻦ اﻟﻄﺮﻓﯿﻦ ﺣﻮل اﻟﻤﺴﺎﺋﻞ اﻟﺘﻲ ﯾﺘﻨﺎوﻟﮭﺎ
between the two Parties relating to the وﺗﻠﻐﻰ ﺟﻤﯿﻊ اﻟﻤﺮاﺳﻼت واﻟﺘﺼﺮﯾﺤﺎت واﻹﺗﻔﺎﻗﺎت اﻟﺴﺎﺑﻘﺔ
subject matter hereof. All previous اﻟﺸﻔﻮﯾﺔ ﻣﻨﮭﺎ،ﺑﯿﻦ اﻟﻄﺮﻓﯿﻦ ﺑﺨﺼﻮص ﻣﻮﺿﻮع ھﺬا اﻟﻌﻘﺪ
correspondence, statements and agreements وﻻ ﯾﻌﺘﺪ ﺑﺄي ﺗﻌﺪﯾﻞ ﻟﮭﺬا اﻟﻌﻘﺪ ﻣﺎ ﻟﻢ ﯾﺘﻢ ذﻟﻚ.أو اﻟﻜﺘﺎﺑﯿﺔ
between the Parties concerning the Project,
verbal or written, shall be annulled. Any .ﻛﺘﺎﺑﯿﺎً وﯾﻮﻗﻊ رﺳﻤﯿﺎً ﻣﻦ ﻗﺒﻞ اﻟﻄﺮﻓﯿﻦ
amendment to this Contract shall be invalid
unless it is in writing and officially signed
by the two Parties.
Section 28. Confidentiality and اﻟﺴﺮﯾﺔ واﻟﻌﻠﻨﯿﺔ.28 اﻟﻘﺴﻢ
Disclosure
1. The Parties shall maintain and ﻋﻠﻰ أن ﯾﺤﺎﻓﻆ، وﯾﻌﻤﻼن،ﯾﺤﺎﻓﻆ اﻟﻄﺮﻓﺎن .1
endeavor to have their employees ﻣﻮظﻔﻮھﻤﺎ ﻋﻠﻰ ﺳﺮﯾﺔ ﺟﻤﯿﻊ اﻟﺒﯿﺎﻧﺎت اﻟﻤﺎﻟﯿﺔ
maintain the confidentiality of all وﻗﻮاﺋﻢ اﻟﻌﻤﻼء وﺑﯿﺎﻧﺎت اﻷﻋﻤﺎل واﻟﺘﺸﻐﯿﻞ
financial information, clients’ lists, واﻷﺳﺮار اﻟﺘﺠﺎرﯾﺔ واﻟﺒﯿﺎﻧﺎت اﻟﺘﻘﻨﯿﺔ أو ﻏﯿﺮھﺎ
activities and operation statistics, ﻣﻦ اﻟﻤﻌﻠﻮﻣﺎت ذات اﻟﻄﺒﯿﻌﺔ اﻟﺴﺮﯾﺔ
trade secrets, technical data and )"اﻟﻤﻌﻠﻮﻣﺎت اﻟﺴﺮﯾﺔ"( اﻟﻤﻤﻠﻮﻛﺔ ﻷي ﻣﻦ
other information of a secret nature اﻟﻄﺮﻓﯿﻦ أو اﻟﺘﻲ ﯾﺤﺼﻞ ﻋﻠﯿﮭﺎ طﺮف ﻣﻦ
(“Confidential Information”) owned
by either Party or that neither Party : ﺑﺈﺳﺘﺜﻨﺎء أي ﻣﻌﻠﻮﻣﺎت ﺗﻜﻮن،اﻟﻄﺮف اﻵﺧﺮ
would obtain it from the other Party
except any information that:
a. Is or becomes publicly ﻣﺘﻮﻓﺮة أو ﺗﺼﺒﺢ ﻣﺘﻮﻓﺮة ﻟﻠﻌﺎﻣﺔ ﻓﻲ .أ
أي ﺷﻜﻞ ﻣﺎﻋﺪا ﻟﻦ ﺗﺘﻮﻓﺮ ﻧﺘﯿﺠﺔ ﻋﻤﻞ
available in any form other ﻣﻦ ﺟﺎﻧﺐ اﻟﻄﺮف اﻟﻤﺘﻠﻘﻲ أو وﻛﻼﺋﮫ
than as a result of an action by .أو ﻣﻤﺜﻠﯿﮫ أو ﻣﺴﺘﺸﺎرﯾﮫ أو ﻣﻮظﻔﯿﮫ
the receiving Party or its
agents, representatives,
advisers or employees.
b. Is or becomes available to the ﻣﺘﻮﻓﺮة أو ﺗﺼﺒﺢ ﻣﺘﻮﻓﺮة ﻟﻠﻄﺮف .ب
other Party in such a manner اﻵﺧﺮ ﺑﺼﻮرة ﺗﺤﻤﻞ ذﻟﻚ اﻟﻄﺮف
that such Party may ﻋﻠﻰ اﻹﻋﺘﻘﺎد ﺑﺸﻜﻞ ﻣﻌﻘﻮل ﺑﺄﻧﮭﺎ
reasonably believe that it is not وﯾﻌﺘﻘﺪ،ﻣﻌﻠﻮﻣﺎت ﻟﯿﺴﺖ ﺳﺮﯾﺔ
Confidential Information and اﻟﻄﺮف اﻟﻤﺘﻠﻘﻲ ﺑﺸﻜﻞ ﻣﻌﻘﻮل أن ﻟﮫ
that the receiving Party may
reasonably believe that it has .اﻟﺤﻖ ﻓﻲ إﻓﺸﺎﺋﮭﺎ ﺑﺤﺮﯾﺔ دون ﻗﯿﺪ
