2. A breach by the First Party and/or
Competent Government Authorities
of any of the terms and provisions
of this Contract that may prejudice
the Second Party’s ability to meet its
obligations in accordance with this
Contract or exercise its rights
hereunder.
Section 22. Termination by the First اﻹﻧﮭﺎء ﻣﻦ ﻗﺒﻞ اﻟﻄﺮف اﻷول.22 اﻟﻘﺴﻢ
Party
1. The First Party may terminate if a ﯾﺠﻮز ﻟﻠﻄﺮف اﻻول إﻧﮭﺎء ھﺬا اﻟﻌﻘﺪ ﻓﻘﻂ إذا .1
material breach by the Second Party ﺗﺤﻘﻘﺖ ﺣﺎﻟﺔ إﺧﻼل ﺟﻮھﺮي ﺑﻤﻮﺟﺐ اﻟﻘﺴﻢ
has occurred and the First Party has وإﺗﺒﻊ اﻟﻄﺮف اﻻول اﻹﺟﺮاءات،()
followed the provisions set forth اﻟﻤﻨﺼﻮص ﻋﻠﯿﮭﺎ ﻓﻲ اﻟﻔﻘﺮات ﻣﻦ ﻗﺴﻢ )رﻗﻢ
below.

this Contract in the case of a ﻓﻲ ﺣﺎﻟﺔ اﻹﺧﻼل اﻟﺠﻮھﺮي ﻣﻦ ﺟﺎﻧﺐ اﻟﻄﺮف
material breach by the Second Party, ً ﯾﻨﺒﻐﻲ ﻋﻠﯿﮫ أوﻻً أن ﯾﻮﺟﮫ إﺷﻌﺎراً ﻛﺘﺎﺑﯿﺎ،اﻟﺜﺎﻧﻲ
it shall first send a written notice )"إﺷﻌﺎر اﻟﺘﻨﺒﯿﮫ"( إﻟﻰ اﻟﻄﺮف اﻟﺜﺎﻧﻲ ﯾﺘﻀﻤﻦ
(“Notice of Alert”) to the Second
Party including the following: :ﻣﺎ ﯾﻠﻲ
a. The nature of the breach . طﺒﯿﻌﺔ اﻹﺧﻼل اﻟﻤﺪﻋﻰ ﺑﮫ.أ
claimed,
اﻹﺟﺮاءات اﻟﺘﻲ ﺗُﻌﺘﺒﺮ ﻣﻌﻘﻮﻟﺔ.ب
b. Actions that may be .وﻻزﻣﺔ ﻟﻤﻌﺎﻟﺠﺔ اﻹﺧﻼل
considered reasonable and
